Authorization Letter (Chinese and English Version)
We, the Party A (hereinafter referred to as the "Principal"), and the Party B (hereinafter referred to as the "Agent"), have reached the following agreement regarding the authorization of the Principal to the Agent to act on behalf of the Principal for relevant matters:
I. Scope of Authorization
The Principal authorizes the Agent to act on behalf of the Principal for the following matters:
1. Conducting business negotiations and discussions with relevant institutions or individuals on behalf of the Principal;
2. Signing relevant agreements and contracts on behalf of the Principal;
3. Handling relevant documents and materials related to the affairs on behalf of the Principal;
4. Making payments and receiving payments related to the affairs on behalf of the Principal.
II. Authorization Period
The authorization period of this authorization letter is from the date of signing until the completion of the entrusted affairs.
III. Rights and Obligations

IV. Expenses

2. The Agent shall make payments and reimbursements for expenses in accordance with the requirements of the Principal.
V. Breach of Contract Liability
1. If the Agent fails to conduct the relevant matters in accordance with the requirements and instructions of the Principal, resulting in losses to the Principal, the Agent shall be liable for compensation accordingly;
2. If the Principal fails to pay the fees as agreed in this authorization letter or fails to provide necessary documents and materials, resulting in the inability of the Agent to perform the entrusted affairs, the Principal shall be liable for compensation accordingly.
VI. Dispute Resolution
The interpretation and dispute resolution of this authorization letter shall be governed by the laws of the People's Republic of China. For any disputes arising from this authorization letter, the parties shall resolve them through friendly consultation. If the consultation fails, the parties agree to submit the disputes to the competent people's court.
VII. Other Agreements
1. This authorization letter is made in duplicate, with each party holding one copy, both having equal legal effect;
2. All compliance and performance of this authorization letter shall be in written form.
